Software licence agreement

Effective 27 October 2026. Published by Respiresoft LLC. When a policy changes, the date changes and the hub says what changed.

This agreement is between you and Respiresoft LLC ("RespireSoft", "we"). It covers the RespireCloud software, the panel, its agent, command line tool, modules and mobile app (together "RespireCloud"). Buying, prices and refunds are in the terms of sale and service. By installing or using RespireCloud you accept this agreement.

1. The licence we give you

We give you a personal, non-exclusive, non-transferable licence to install and run RespireCloud on servers you control, in the edition and within the limits written in your signed licence, for the period of your licence. It is a licence to use the software, not a sale of it.

  • Self-hosted. RespireCloud runs on your servers. We do not host your sites.
  • Per server. A licence is bound to one installation (its installation key and machine fingerprint). The number of servers a licence covers is part of the edition (one for Free, Solo and Pro, three for Host, unlimited for Cluster).
  • Limits. Your edition limits hosting accounts, servers, resellers and CDN edges. The panel refuses to create more than the limit and says which limit and edition.
  • Your customers. You may use RespireCloud to host sites for other people, including as a reseller, within your edition's limits. Your hosting customers get no licence of their own from us.

2. What you may not do

  • Copy a licence key, licence file or installation key to another server to use it there, or share them.
  • Remove, bypass, patch or disable the licence checks, the signature checks, the integrity checks, or the limits of your edition, or help others do so.
  • Use a modified, repackaged or unsigned build in place of a release we signed, or run unlicensed copies ("nulled" copies).
  • Sell, rent, sublicense or give RespireCloud to others as a product of your own, except as part of the hosting you provide to your customers on your licensed servers.
  • Reverse engineer or decompile the software to get around any of the above. The law gives you some rights here, for example to make the software work with other software, and this agreement does not take them away.
  • Remove our names, notices or the open-source notices.
  • Use RespireCloud or our services to break the law or in breach of the acceptable use policy.

3. Open-source parts

RespireCloud contains open-source components. They are not covered by this agreement. Each keeps its own licence, listed on the open-source licences page and in the third-party notices that come with every release. Where an open-source licence gives you more rights than this agreement does for that component, the open-source licence wins for that component.

4. Staying licensed: check-ins and updates

The panel checks in with the RespireSoft licence service about every 24 hours to renew the licence and pick up changes (for example a new add-on). It verifies the licence offline too, so a short outage on either side does not matter. What the check-in sends is listed in the privacy policy. An air-gapped server can use a signed licence file from us instead, which is renewed by file in the same way.

5. When a licence ends, lapses or is revoked

The owner's rule is simple: features degrade, sites never break. This is what keeps running and what stops.

Grace period

If the panel cannot check in, or the term is over, it keeps full function for 14 days. Administrators see a banner with the days left.

After the grace period, or after revocation

Keeps runningStops until you renew
  • Every hosted website, mail, DNS and database service
  • Running containers and scheduled jobs
  • Administrator sign-in, roles and security actions
  • Backups and restores
  • The licence screen, where you renew or replace the licence
  • Reading your data
  • Your data, settings and accounts. Nothing is deleted
  • Creating or changing things in the panel, other than the actions listed on the left
  • Adding servers (nodes)
  • Paid add-ons (switched off, data and settings kept)
  • Store installs and module upgrades
  • Updates to new releases
  • RespireSoft AI, which stops when the licence or its AI subscription ends

Renewing, or activating a replacement licence, brings everything back at once, as it was. Over-limit accounts after a downgrade are never deleted or suspended. Only new ones are refused. An add-on or trial that ends switches that feature off alone, the same way.

6. Audit and tamper rules, stated plainly

  • Integrity check. At start and with every check-in, the panel computes a fingerprint (a SHA-256 hash) of each program file it runs and compares it with the signed release manifest on your server. The hashes also go to the licence service, which compares them with the releases we published.
  • If files do not match. The panel goes into the degraded state described above, with a notice to administrators saying which files differ. The licence service refuses updates, Store downloads and RespireSoft AI for that licence until you reinstall a genuine release, and the answer says how.
  • What we never do. There is no kill switch. We do not delete your data, lock you out of your server, or stop your websites, mail or DNS because of a tamper finding or an expired licence.
  • Copied licences. A licence that is bound to another installation key or machine is refused as "not this server's licence" and the panel is degraded in the same way.
  • Usage reports. The check-in reports the counts your edition limits (accounts, servers, resellers, CDN edges), and the number of active accounts per day, so the service can compare them with your licence and you can reconcile invoices.
  • Revocation. We may revoke a licence for a serious breach of this agreement, for fraud or a charged-back payment. We do it through a signed answer, which cannot be forged by someone between your server and ours.
  • Asking questions. If we think a licence is being misused, we will write to you first where we can. Tell us if you believe a finding is wrong, and we will look at it.

7. Rebinding and moving servers

You can move a licence to a new server. You activate it there and re-bind it, a limited number of times a year (3 by default). The old server then stops being entitled. A small change of hardware does not invalidate the licence: two of three machine components must match. If you run out of re-binds, write to us and we will help.

8. Your data stays yours

We do not receive or host your hosting data. The panel sends us only the data listed in the privacy policy. If you use RespireSoft AI, the text you or your users send to the assistant goes through our AI service, with the protections that policy describes.

9. Optional services

RespireSoft AI, the Store and the community are optional or separate. They have their own rules in the terms and the acceptable use policy. You can use RespireCloud without RespireSoft AI, with your own provider or a local model, or with none.

10. Warranty, liability and law

The warranty, the limit of liability and the governing law (Wyoming, courts of Sheridan County) are the ones in the terms of sale and service, sections 13 and 16, and apply to this agreement too.

11. Ending this agreement

You can stop at any time by deactivating the licence in the panel (which releases it at the licence service) and removing the software. We can end this agreement if you seriously break it, as described in section 6 and in the terms. After it ends, you must stop using the software. Sections that by their nature continue (ownership, liability, law) continue.
